Welcome to www.skillupgrow.com (referred to as “Skill UpGrow”, “we”, “us”, or “our”), an EdTech division of PeerDear Commerce And Research. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and educational courses (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, enrolling in a course, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Skill UpGrow.

2. Definitions

“Service” refers to the website www.skillupgrow.com, all associated pages, features, content, and educational courses provided by Skill UpGrow.
“User”, “You”, “Your” refers to any individual or entity accessing or using the Service.
“Courses” refers to the educational programs, modules, content, and materials offered through the Service.
“Content” refers to all text, images, videos, audio, documents, software, and other materials available on or through the Service.

3. Account Registration

Eligibility: You must be at least 18 years old to create an account and use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

5. Course Enrollment and Access

Enrollment: When you enroll in a Course, you are granted a non-transferable, non-sublicensable license to access and use the Course materials for your personal, non-commercial educational purposes for the duration specified at the time of enrollment (e.g., 6 months, 12 months, or lifetime access where explicitly stated).
Course Content: Course content may be updated or modified by Skill UpGrow at its sole discretion. We strive to keep content current and relevant.
Completion: Successful completion of a Course may lead to a certificate of completion, subject to meeting all course requirements.

6. Payments and Refunds

Pricing: Course fees are listed on the website and are subject to change without prior notice.
Payment: All payments must be made through the payment methods provided on the Service. You agree to provide accurate and complete payment information.
Refunds: Our refund policy is detailed separately on our website. Please refer to the specific refund policy for each Course or service. Generally, refund eligibility is subject to specific conditions and timeframes.

7. Intellectual Property Rights

Skill UpGrow Content: All Content on the Service, including Courses, text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Skill UpGrow or its content suppliers and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Your License: Your enrollment in a Course grants you a limited, non-exclusive, non-transferable license to access and view the Course content for your personal, non-commercial, educational use only. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any Course content unless we give you explicit permission to do so.
User Content: If you submit any content to the Service (e.g., forum posts, assignments), you grant Skill UpGrow a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights to the content you submit.

8. User Conduct

You agree not to use the Service to:

Post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Service.
Upload, post, email, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships.
Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.
Interfere with or disrupt the Service or servers or networks connected to the Service.

THE SERVICE AND ALL CONTENT, COURSES, AND MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SKILL UPGROW, AN EDTECH DIVISION OF PEERDEAR COMMERCE AND RESEARCH, DOES NOT MAKE ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE. WITHOUT LIMITING THE FOREGOING, SKILL UPGROW DOES NOT WARRANT THAT THE SERVICE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SKILL UPGROW, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Skill UpGrow, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service’s Content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Kolkata, West Bengal, India. The language of the arbitration shall be English.

14. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
